These Terms of Service govern all engagements between Blu Dexter and its clients, from the free Strategy Audit through the Growth Engine and Authority Partnership tiers. Please read them alongside the Refund & Cancellation Policy and your signed Statement of Work.
By engaging Blu Dexter (“we”, “us”, “the firm”) for a Strategy Audit, Strategy Sprint, Growth Engine, Authority Partnership, or any other service, you (“the client”) agree to these Terms of Service. If you do not agree, please do not proceed with an engagement.
Blu Dexter provides strategy, brand, demand-generation, PR and conversion services under The Value Moat™ framework, delivered through the engagement tiers described on this website and confirmed in a written proposal or statement of work (SOW) for each client.
The specific scope, deliverables, timeline and fees for any engagement are set out in the SOW, which forms part of these Terms once signed or confirmed in writing by both parties.
Fees are quoted per engagement tier and confirmed in the SOW. Strategy Sprint and Authority Partnership engagements are typically invoiced in milestones; Growth Engine engagements are invoiced monthly in advance.
Invoices are due within 7 days of receipt unless otherwise agreed in writing. Late payments beyond 15 days may result in pause of active work until the account is current.
Media spend (paid advertising budgets) is billed separately from the service fee and is payable directly to the platform or passed through at cost, as agreed in the SOW.
Upon full payment for the relevant deliverable, ownership of final creative assets, copy, designs and strategy documents produced specifically for the client transfers to the client.
Blu Dexter retains ownership of its underlying methodology, frameworks (including The Value Moat™), templates, tools and any pre-existing intellectual property used to deliver the engagement, and may reuse general learnings (with client identity anonymised) for its own case studies and marketing unless the client requests otherwise in writing.
Blu Dexter treats all client information as confidential by default from the first Strategy Audit onward, whether or not a separate NDA is signed.
Confidential information will not be shared with third parties or used outside the scope of the engagement, except where required by law or with the client’s written consent.
Engagements run for the term stated in the SOW. Either party may terminate a Growth Engine or Authority Partnership engagement with 30 days’ written notice; Strategy Sprint engagements, being fixed-scope, are not cancellable once work has commenced except as set out in the Refund & Cancellation Policy.
On termination, the client remains liable for fees for work completed and committed media spend up to the termination date.
Blu Dexter delivers strategy, marketing and communications services and does not guarantee specific business outcomes (such as revenue, rankings or sales figures), as these depend on factors outside our control, including market conditions and client execution.
To the extent permitted by law, Blu Dexter’s total liability arising from any engagement is limited to the fees paid by the client for that engagement in the preceding three months.
The client agrees to indemnify Blu Dexter against claims arising from inaccurate information, unlawful content or unauthorised assets supplied by the client for use in any campaign or deliverable.
These Terms are governed by the laws of India. Any dispute arising from an engagement will first be addressed through good-faith negotiation between the parties; failing resolution within 30 days, the dispute will be subject to the exclusive jurisdiction of the courts of New Delhi, India.
Blu Dexter may update these Terms from time to time. Material changes will be communicated to active clients by email; continued engagement after such notice constitutes acceptance of the revised Terms.
